Companies House Identity Verification Now Live – Act to Avoid Fines

As of 18 November 2025, identity verification for individuals involved in UK companies has become a legal requirement. This date marks the beginning of a 12-month transition period, allowing companies ample time to ensure that all relevant directors and People with Significant Control (PSCs) complete their identity verification by the specified deadlines.
While this is not a one-time deadline, companies must act promptly to meet the required verification standards. The mandate is designed to deter the misuse of companies for illicit purposes, reducing fraud risks and enhancing transparency, trust, and the accuracy of the public register.

Specific Requirements for People with Significant Control (PSCs)
PSCs are required to provide their Companies House personal code and a verification statement through the ‘Provide identity verification details for a PSC’ service. Each PSC has a 14-day period to submit their details. The start date of this 14-day period is determined by the PSC’s role within the company:

The Companies House Personal Code
Upon successful identity verification, individuals will receive a unique identifier known as a Companies House personal code. This code is specific to the individual and is not linked to any particular company. It is required for various filings, including submitting a confirmation statement, being appointed as a director, or becoming a PSC.
For individuals already serving as directors or PSCs, the personal code must be used to link their verified identity with Companies House records. Individuals should safeguard their personal code and share it only with trusted persons filing on their behalf.
Consequences of Non-Compliance Are Now Active
Failure to complete identity verification on time may result in the individual committing an offence, facing prosecution, or incurring financial penalties. Additionally, Companies House will publish a note of non-compliance on the public register against the individual’s name. Non-compliant individuals will be prevented from:
- Being appointed as a new director of an existing company
- Registering a new company or entity
- Registering as an Authorised Corporate Service Provider (ACSP)
If directors or PSCs continue in their roles after the deadline without verification, they, the company, and potentially all directors could be committing an offence.
A Note on Urgency
This update is critical and must be treated with the same urgency as a mandatory safety recall for vehicles. While there is a transition period, each director and PSC has a personal, non-negotiable deadline for compliance. Failure to meet this deadline will result in public non-compliance notes, legal risks, and immediate legal consequences.
